Full details of the plan to move to four professional sides next season will be sent to the clubs in a formal notice of the meeting on 30 January.
It means the existing nine teams in the Welsh Premiership, or group of clubs, will be able to bid for one of the four franchises if the vote is passed in favour of the move next month.
The areas in which these teams will be based will be East Wales, Central Wales, South West Wales and West Wales.
The successful team or teams will have a 50% share of the franchise, the remaining Premier Division sides in their region will be handed a 30% stake and the rest of the clubs from Division 1-7 will have 20%.
‘We are looking to create a true partnership between the professional clubs and the WRU which also includes the rest of the clubs in Wales,’ said the WRU Group Chief Executive David Moffett.
‘We have come to a position in Welsh rugby where everyone is looking for leadership. Tonight the Board of Directors did just that.
‘Despite having made countless attempts both privately and publicly to the clubs to come back with a counter proposal to our offer of four regional teams, they told us unequivocally today that they could not reach agreement.
‘The tender document for the franchises will be worked on in conjunction with the clubs. The names of the teams, and the colours they play in, will be matters for the franchise holders to determine.
‘This system involves every club in Wales and allows every club in Wales to maintain its own identity. We want to be more competitive at European and International levels at we believe this is the best way to do that.
‘There are only around 130 Welsh qualified players who are good enough to play in these teams and we feel they will play at a higher level, and become more competitive, as a result of this move.’
