(“Terms and Conditions”)

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THIS SITE AND PURCHASING WRU OFFICIAL MEMBERSHIP

The Welsh Rugby Union Limited (the “WRU”, “we”, “our”, “us”) owns the WRU official membership scheme (previously known as The Welsh Rugby Union Supporters Club) (“WRU Official Membership”). The WRU is a company registered in England and Wales under company number 3419514 and has its registered office at Principality Stadium, Westgate Street, Cardiff CF10 1NS.

The WRU has engaged a company called Fourth Wall Limited to assist with the management and operation of the WRU Official Membership scheme and deliver certain aspects of the membership scheme on behalf of the WRU. Fourth Wall is a company registered in England and Wales under company number 7090752 and has its registered office at Unit 2-3 Riverview Business Park, Shore Wood Road, Bromborough, Wirral CH62 3RQ.

These are the terms and conditions that govern the WRU Official Membership scheme and apply to your use of that membership and the services we supply to you as part of your membership benefits.

Please read these Terms and Conditions carefully before you purchase your Membership (as defined in paragraph 1.1 of Part A below). These terms tell you who we are, the terms of your purchase, how we will provide services and Membership Benefits (as defined in paragraph 3.1 of Part A below) to you, how you and we may change or end the contract, what to do if there is a problem and other important information. These Terms and Conditions are split in to two parts; Part A details the terms of purchase and Part B sets out how you may use your Membership and the Membership Benefits. If you think that there is a mistake in these Terms and Conditions, please contact us to discuss.

By purchasing a Membership you accept these Terms and Conditions and you agree to comply with them. If you do not agree to these Terms and Conditions, you must not purchase a Membership.

About us and customer service

In these Terms and Conditions: “Fourth Wall”/”our”/”we”/”us” means Fourth Wall. Fourth Wall is officially authorised and engaged by the WRU to deliver the services and membership subscriptions in connection with the WRU Official Membership scheme as described in these Terms and Conditions. Your contract is with the WRU and the WRU will continue to manage communications in relation to the Membership.

Who maintains these Terms and Conditions

PART A: PURCHASE OF MEMBERSHIP

1. Membership Purchase and Acceptance

1.1. By purchasing membership to the WRU Official Membership scheme (“Membership”) you are entering into a contract with the WRU under which we will provide you with certain Membership benefits via Fourth Wall in exchange for the fee that you pay us (the “Membership Contract”). By entering into the Membership Contract you agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, you must not purchase any Membership.

1.2. You can purchase a Membership by selecting the appropriate package on either of the following websites and following the instructions to complete your order: https://memberships.wru.wales

1.3. We will notify you by email when we have processed your payment of the relevant membership fee and in that email will inform you that you are a member of the WRU Official Membership scheme (a “Member”). This confirmation email message will constitute our acceptance of your Membership application. Our acceptance of your order will be deemed complete and received by you at the time and date we send this confirmation email, at which point the Membership Contract will come into existence.

1.4. We will assign a membership number to your Membership and tell you what it is when we accept your order. It will help us if you can tell us your membership number whenever you contact us about your Membership.

1.5. Your Membership Benefits will commence promptly upon receipt of the above confirmation email. Please note that you must wait until your Membership is activated before you will be eligible to apply for tickets (if on sale and available to purchase by Members) in accordance with these Terms and Conditions.

1.6. WRU Official Membership is an annual membership scheme. The annual membership commences when we accept your order and send you the confirmation email to the email address that you provide during the sign-up process. The annual membership will continue until 23:59 on the day before the first anniversary of the date on which you made your order, whereupon your Membership will terminate unless you have selected to renew automatically – please see paragraph 5.8 below for further information on automatic renewals of your Membership.

2. Eligibility

2.1. You must be at least 18 years old to purchase a Membership. We cannot contract with individuals who are under the age of 18 unless you have your legal guardian’s prior consent to do so. If we have any cause to believe you do not have consent, we may cancel your Membership Contract, and your Membership would thereby come to an end.

You must fall within the applicable age ranges specified on https://membership.wru.wales in order to purchase a “Teen”, “Mini’s” or “Junior” Membership. You will only be able to purchase such Membership and contract with us to do so if you have your legal guardian’s prior consent to contract and pay for such Membership. If we have any cause to believe you do not have consent, we may cancel your Membership Contract, and your Membership would thereby come to an end.

2.2. You must be an individual. We contract with you as a consumer – that is you are acting as an individual and not in the course of trade or in the conduct of your profession. For any business enquiries, please contact us at the above referenced details for our Customer Services team.

3. Products

3.1. By purchasing Membership you will (subject to these Terms and Conditions) receive the membership benefits that relates to the category of Membership you have purchased as set out at https://membership.wru.wales and (the “Membership Benefits”). As part of the purchase process, you will be required to select the category of Membership you are purchasing, along with the Membership Benefits which are included for that category.

3.2. The images of the products, including the Welcome Pack (as defined in paragraph 6.4 of Part A below), on our website are for illustrative purposes only. Although we have made every effort to display the colours accurately, we cannot guarantee that a device’s display of the colours accurately reflects the colour of the products. Your product may vary slightly from those images.

4. Your responsibility to provide information

4.1. We will need certain information from you in order for you to become a Member and receive the Membership Benefits. This will have been stated in the description of the Membership Benefits and/or requested when you make your order. If you do not give us this information within a reasonable time of us asking for it, or if you give us incomplete or incorrect information, we may either end the contract or make an additional charge of a reasonable sum to compensate us for any extra work that is required as a result. We will not be responsible for supplying the Membership Benefits late or not supplying any part of them if this is caused by you not giving us the information we need within a reasonable time of us asking for it.

4.2. It is the Member’s responsibility to inform us of any change of name and provide official printed proof of the new details. To inform us of any change of address please email customercare@wru.wales For the avoidance of doubt, any change of name means that the Member has changed their name and does not mean that the Membership can be transferred to somebody else (Memberships are non-assignable and non-transferrable).

5. Price and payment

5.1. The cost of each Membership to the WRU Official Membership scheme, and the various types of Membership are available online at https://membership.wru.wales (“the Fee”). It is always possible that, despite our best efforts, some Memberships may be incorrectly priced. We will normally check prices before accepting your order so that, where the Membership’s correct price at your order date is less than our stated price at your order date, we will charge the lower amount. If the Membership’s correct price at your order date is higher than the price stated to you, we will contact you for your instructions before we accept your order. If we accept and process your order where a pricing error is obvious and unmistakeable and could reasonably have been recognised by you as a mispricing, we may end the contract, refund you any sums you have paid and require the return of any Membership Benefits provided to you

5.2 Membership must be paid for in British pounds sterling. You can compare the costs of Membership in alternative currencies. All currency rates are based on various publicly available sources and should be used as guidelines only. Rates are not verified as accurate, and actual rates may vary. Currency quotes are not updated every day. Check the date on the ‘Currency Converter’ for the day that currency was last updated. The WRU and Fourth Wall do not warrant or guarantee the accuracy of any information provided on the ‘Currency Converter’ application. When using this information for any financial purpose, we advise you to consult a qualified professional to verify the accuracy of the currency rates. The WRU, Fourth Wall, their respective affiliates and/or suppliers do not authorise the use of the information contained in the ‘Currency Converter’ application to be used for any purpose other than personal use and prohibit to the maximum extent allowable the resale, redistribution, and use of this information for commercial purposes.

5.3 You must pay the Fee applicable to the Membership you have subscribed for, either (i) in full at the point of purchase; or (ii) in accordance with the fee plan notified to you prior to and at the time of registration of your Membership.

5.4 Unless otherwise stated, charges are inclusive of VAT and any other taxes applicable from time to time. If the rate of VAT changes between your order date and the date we supply the Membership, we will adjust the rate of VAT that you pay, unless you have already paid in full before the change in the rate of VAT takes effect.

5.5 Import duties and local taxes are NOT included in the quoted price of goods being delivered to outside the EU. In this case you will be responsible for the payment of any and all import duties and local taxes including any administration charges upon receipt.

5.6. We accept payment by Visa and Mastercard debit and credit card. We do not accept payment by American Express. You must pay for the full annual membership in advance and we will process the entire payment when we accept your order. If you have selected ‘auto renewal’, payments for subsequent years are dealt with below.

5.7 The WRU will notify you by email that we have processed your payment of the Fee and inform you that you are a Member. The email confirmation message from the WRU together with the bank payment (which will specify Fourth Wall Limited as the payee on our behalf) will constitute our acceptance of your Membership application. Our acceptance of your order will be deemed complete and received by you at the time and date we send the confirmation email, which time and date are specified on the email. We accept no responsibility for you not actually receiving the email, for reasons outside our control. Auto-renewal

5.8. When you place an order for a Membership, you will be given the option of opting-in to auto[1]renewal for subsequent years (“Auto-Renewal”). If you have signed up to Auto-Renewal when entering into the Membership Contract then, unless you have cancelled in the meantime, you will be sent an e-mail before the end of the then current term of your Membership offering you the opportunity to cancel, supply alternative payment details or do nothing to simply continue your Membership. If you choose not to cancel or respond to the auto-renewal e-mail, then your annual subscription will be automatically renewed using existing payment details.

5.9. You may cancel your Auto-Renewal at any time by contacting us using the customer service details set out at the beginning of these Terms and Conditions. Please note that any such cancellation only relates to any future payments and does not affect the then-current Membership term. You will not be entitled to a refund for the then-current Membership term unless otherwise specified in these Terms and Conditions.

5.10. If your payment details have expired then we shall notify you by email and request revised payment instructions. Your failure to reply will lead to your subscription expiring and your Membership being terminated.

6. Delivery

6.1. Any applicable costs of delivery will be displayed to you on our website.

6.2. Responsibility for any physical goods, including the Welcome Pack or Membership Card (each as defined in paragraph 6.3 of Part A below), shall be yours when it is delivered at the address you have notified to us. Membership Cards

6.3. Upon purchasing a new Membership, new Members will be issued with a membership card in paper and/or any other form (a “Membership Card”). A Member who is renewing Membership will continue to use the existing Membership Card already issued. Welcome Packs

6.4. If you have purchased a Membership which is specified to include a membership welcome pack (a “Welcome Pack”), you acknowledge that these Welcome Packs may take up to 14 days to deliver to Members that are in the United Kingdom and up to 28 days for overseas Members. However, please note that, during busier periods it may take us longer to deliver a Welcome Pack to you. The contents of the Welcome Pack may vary depending on stock availability.

6.5. We cannot accept responsibility for non-receipt of any Welcome Pack. One replacement Welcome Pack may be requested by you in respect of each annual Membership for non-delivery only (which we may require you to provide reasonable evidence of to confirm the same).

7. Your rights to end the contract

7.1. For most products and services bought online, including the Membership, you have a legal right to change your mind within 14 days and receive a refund. You will be able to cancel your Membership Contract within 14 days from the start of your Membership Contract.

7.2. For the avoidance of doubt, if your Membership was purchased by way of gift pack, you may cancel the Membership Contract in accordance with this paragraph 7 but any right of refund you may have is governed by the terms and conditions of sale for that gift pack as presented to the purchaser at the time of purchase.

7.3. If you have signed up to Auto-Renewal, then you will have 14 days from the date of each Auto Renewal confirmation to cancel your Membership Contract. In the event that you do cancel within 14 days, the WRU will be entitled to a return of any use by you of the Membership Benefits, including any match tickets you have purchased during that time in the same way as outlined at paragraph 7.4.

7.4. In the event that you do cancel within the period described above, you shall be entitled to a refund. In addition, the WRU will be entitled to a return of any use by you of the Membership Benefits, including any Welcome Pack you have received and any match tickets you have purchased during that time and you may lose the benefit and use of the same. Details of these refunds and returns are set out in paragraph 8.

8. How to end the contract

8.1. If you want to cancel your Membership, or exercise your rights to cancel as set out in these Terms and Conditions, please let us know by doing one of the following:

8.1.2. By post. Print off the form at Schedule 1 below and post it to us at the address on the form. Or simply write to us at that address, including details of what Membership you have, when you started your Membership, and your name and address.

8.2. If you end the contract for any reason after any physical Membership Benefits have been dispatched to you or you have received them (including a Welcome Pack, Membership Card), you must return them to us. You must post them back to us at Fourth Wall Limited, Unit 2-3 Riverview Business Park, Shore Wood Road, Bromborough, Wirral, United Kingdom, CH62 3RQ. Please contact us for a return label. If you are exercising your right to change your mind you must send off the goods within 14 days of telling us you wish to end the contract. Please retain proof of postage so that a refund can be processed.

8.3. We also reserve the right to cancel any match tickets that you have been allocated in any ballot or which you have purchased through a priority window for Members during the period prior to cancellation of your Membership.

8.4. We will refund you the price you paid for the Membership, by the method you used for payment.

8.5. We will make any refunds due to you as soon as possible. If you are exercising your right to change your mind then:

8.5.1. If you are required to return any physical Membership Benefits, your refund will be made within 14 days from the day on which we receive the product back from you or, if earlier, the day on which you provide us with evidence that you have sent the product back to us.

8.5.2. In all other cases, your refund will be made within 30 days of you telling us you have changed your mind.

9. Our rights to end the contract

9.1. We may end the Membership Contract at any time by writing to you if:

9.1.1. you do not make any payment to us when it is due and you still do not make payment within 14 days of us reminding you that payment is due;

9.1.2. you do not, within a reasonable time of us asking for it, provide us with information that is necessary for us to provide the Membership Benefits; or

9.1.3 you breach the terms of use set out in Part B of these Terms and Conditions.

10. Liability

10.1. We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation; for breach of your legal rights; and for defective products under the Consumer Protection Act 1987.

10.2. We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with any inability to purchase a Membership.

10.3. To the extent possible in law, we limit our liability to you to the value of the Membership you have paid for that is current during your claim arising.

10.4. If defective digital content which we have supplied damages a device or digital content belonging to you and this is caused by our failure to use reasonable care and skill we will either repair the damage or pay you compensation. However, we will not be liable for damage which you could have avoided by following our advice to apply an update offered to you free of charge or for damage which was caused by you failing to correctly follow installation instructions or to have in place the minimum system requirements advised by us.

10.5. Please note that Membership and the Membership Benefits are only made available to you for your private use. You agree not to use the Membership or any Membership Benefits for any commercial or business purposes, and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

11. Personal Data Please note the Welsh Rugby Union (and its relevant group companies) are a data controller in respect of the WRU Official Membership scheme operated by Fourth Wall. Privacy information about how the Welsh Rugby Union Group processes any of your personal data in relation to the WRU Office Membership scheme can be found in the WRU’s privacy policy – see here (https://www.wru.wales/legal/legal-and-privacy).

12. Other important terms

12.1. The WRU may amend these Terms and Conditions from time to time in its discretion. Any changes will be published on the WRU’s website.

12.2. We may transfer our rights and obligations under these Terms and Conditions to another organisation. We will always tell you in writing if this happens and we will ensure that the transfer will not affect your rights under these Terms and Conditions. You may not transfer your rights and obligations under these Terms and Conditions.

12.3. Nobody else has any rights under these Terms and Conditions (except that any other Welsh Rugby Union Group company may enforce and rely on such terms that either expressly or impliedly refer to it). These Terms and Conditions are between you and us. Neither of us will need to get the agreement of any other person in order to end the contract or make any changes to these Terms and Conditions.

12.4. If a court finds part of these Terms and Conditions is illegal, the rest will continue in force. Each of the paragraphs of these Terms and Conditions operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.

12.5. Even if we delay in enforcing this contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these Terms and Conditions, or if we delay in taking steps against you in respect of your breaking this Membership Contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.

12.6. We are not responsible for delays outside our control. If our supply is delayed by an event outside our control then we will contact you as soon as possible to let you know and we will take steps to minimise the effect of the delay. Provided we do this we will not be liable for delays caused by the event, but if there is a risk of substantial delay you may contact us to end the contract and receive a refund for any Memberships you have paid for but not received.

12.7. These Terms and Conditions shall be governed and construed in accordance with the laws of England and Wales. You can bring legal proceedings in respect of these Terms and Conditions in the courts of England and Wales. If you live elsewhere, you may be entitled to bring proceedings in your local courts.

PART B: YOUR USE OF THE MEMBERSHIP

1. General

1.1. Membership and the Membership Contract are personal to the Member. This means that any Membership Benefits, including Membership Cards and tickets purchased as a result of Membership are also personal to the Member and may not be transferred under any circumstances. All Membership Benefits remain the property of the WRU and are subject to the relevant ticket terms and conditions.

1.2. Where you are provided any login information, including usernames and passwords, you are responsible for preventing the use of these by anyone other than you, the individual to whom they are issued. You are responsible for any misuse utilising any details provided as part of your Membership.

1.3. Membership and Membership Cards may not be offered as a prize in any promotion or competition and shall not be transferred, lent or sold to any third party as part of a hospitality or travel package.

2. Membership cards

2.1. Use of Membership Cards

2.1.1. You must carry your Membership Card whenever you are utilising your Membership Benefits. This includes at any match which you have used your Membership to purchase tickets for.

2.1.2. Your Membership Card must be available at all games for inspection by officials and security staff of the WRU, Fourth Wall and the police, unless advised otherwise by the WRU (for example if mobile ticketing is implemented by the WRU). The WRU reserves the right to refuse admission or eject from the venue any person who fails to comply with this requirement and other requirements of entry.

2.1.3. All Membership Cards shall be returned to the WRU on demand following termination of Membership for any reason.

2.2. Lost or stolen membership cards

2.2.1. If you inadvertently lose, misplace, damage or destroy your Membership Card you should report this to us as soon as possible. Contact details are:

2.2.2. If your Membership Card is stolen, you should report this to the police and the relevant crime number and police force should be quoted in all correspondence with us. A £10.00 administration charge will be payable prior to you being issued with a replacement card; however, this charge will be refunded once we receive confirmation from the applicable police force that the crime reference number has been validated.

2.2.3. If, in our opinion, a Membership Card is damaged, lost, misplaced or destroyed, for any other reason a duplicate Membership Card shall be issued as soon as reasonably practicable after the payment of a £10.00 non-refundable administration charge, unless we reasonably believes that you are, or have been, acting in a fraudulent or illegal manner and/or in breach of these Terms and Conditions or other applicable terms.

2.2.4. Only one duplicate Membership Card may be issued per year of your Membership and you may be required to sign a document confirming that the original Membership Card is damaged, lost, stolen or destroyed and indemnifying the WRU and Fourth Wall against any direct or indirect consequences of such matter having been falsely represented or stated to the WRU or Fourth Wall. Fourth Wall and/or WRU may require you to attend Principality Stadium or such other location as may be determined by the WRU in person to collect the duplicate Membership Card and provide satisfactory identification (to Fourth Wall and/or the WRU’s satisfaction). For the avoidance of doubt, if you lose your duplicate Membership Card we may suspend your Membership and any associated benefits (as detailed below) until the end of the then-current Membership year, and no refund will be paid in respect of any unexpired portion of the Membership.

3. Tickets and attendance at WRU matches

3.1. Once you have completed the purchase of your Membership, you will be presented with a pop-up modal asking you to register for priority access to be able to purchase tickets to certain rugby matches held at the Stadium. In order to have the right to purchase any such tickets you will need to either (i) register a new account with the WRU’s official e-ticketing site if you are a new user of that site; or (ii) link your existing WRU e-ticketing account to your Membership if you already have a WRU e-ticketing account. If you have an existing WRU e-ticketing account, when you follow the link you will be asked to log-in to your WRU e-ticketing account which will then connect your Membership with your e-ticketing account and allow you to have priority access to the above rugby matches in future. Please note that you will only be able to access any priority sales of the above rugby matches if you complete the process set out in this paragraph 3.1.

3.2. The WRU reserves the right to vary the manner or system in or by which match tickets are to be sold upon reasonable notice being given.

3.3. Membership does not, however, guarantee that upon application the registered member will be entitled to a match ticket and it does not guarantee admission to any match or any particular section of the Stadium or other venue.

3.4. The availability of WRU home match tickets will be declared by the WRU on a match-by-match basis. All information for supporters will be communicated by email relevant to your Membership.

3.5. The dates and times of fixtures for the forthcoming season are subject to any alteration. Every effort will be made to give as much notice as possible of any change.

3.6. Any ticket that is purchased is subject to the WRU ticketing terms and conditions and the Ground Regulations. Any member allocated a ticket through a Members ballot period or priority sale period must be a valid member of the WRU Official Membership scheme at the time of ticket purchase and the date of the match.

4. Other benefits

4.1. When accessing the WRU website (including the WRU Official Membership site), you are bound by the Terms of Use https://www.wru.wales/legal/website-tcs/ , including any requirements set out in respect of membership areas and codes of conduct for posting conduct on those sites.

4.2. All other Membership Benefits that apply to your category of Membership are listed on the product description page of the website (https://membership.wru.wales. You will be supplied with information on how to exercise these benefits via your online user account.

5. Cancellation, suspension and withdrawal of membership

5.1. The WRU reserves the right to suspend the use of the relevant Membership of a Member and any or all associated Membership Benefits for a period of time or to withdraw their use entirely in the event of misuse or abuse of the Membership Benefits in any way or in the event of a breach of these Terms and Conditions, or any other terms that apply to their use (including the website terms of use, ticketing terms and ground entry rules).

5.2. In the event that your Membership is withdrawn or cancelled under this paragraph 5, we reserve the right to exclude you from any membership scheme maintained or organised by the WRU; to disqualify you from applying for any match ticket at its discretion; and to notify any other rugby or sports authority of such exclusion and/or disqualification (and the reason(s) for such exclusion and/or disqualification).
